Welcome to SentryCORE. These Terms of Service ("Terms") govern your access to and use of SentryCORE's services, software, and websites (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity.

SentryCORE provides AI-powered security solutions, including but not limited to:

• AI-powered security monitoring and threat detection (Sentries)
• Managed security operations and incident response services
• Governance, risk, and compliance (GRC) platform and services
• Security assurance, assessment, and testing services
• Security automation and orchestration tools

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Account Registration and Security

To access certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are solely responsible for safeguarding your password and for any activities or actions under your account.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful components
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use the Services for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Remove, alter, or obscure any proprietary notices
• Use the Services to compete with SentryCORE or develop similar products

5. Data and Privacy

Your use of the Services is subject to our Privacy Policy. By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

You retain all rights to your data. We will process your data solely to provide the Services and in accordance with applicable data protection laws.

You represent and warrant that you have all necessary rights and permissions to provide any data to us and that such data does not violate any laws or third-party rights.

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by SentryCORE and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

All trademarks, service marks, logos, and trade names displayed on the Services are the property of SentryCORE or their respective owners.

7. Payment and Billing

Certain aspects of the Services may be provided for a fee. You agree to pay all fees in accordance with the pricing and payment terms presented to you for such Services.

All fees are non-refundable unless otherwise stated in your agreement with us. We reserve the right to change our fees at any time with reasonable notice.

If you fail to pay any fees when due, we may suspend or terminate your access to the Services.

8. Service Level and Availability

While we strive to provide reliable Services, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. We may perform scheduled and emergency maintenance that may cause service interruptions.

Specific service level agreements (SLAs) may be outlined in your separate agreement with us.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTRYCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will be secure, error-free, or meet your requirements, or that defects will be corrected.

11. Indemnification

You agree to indemnify, defend, and hold harmless SentryCORE and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and SentryCORE regarding the Services and supersede all prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
